Someone Made a Terrific Deal in the Peacock/YouTube Premium Partnership…But Who?

(Welcome to the “Most Important Story of the Week”, my bi-weekly strategy column analyzing the most important (but often not buzziest) news story of the last two weeks. I’m the Entertainment Strategy Guy, a former streaming executive who now analyzes business strategy in the entertainment industry. Please subscribe.) I hope everyone around the world suffering from record heat waves is doing okay. The temperature is already up in Southern California, but obviously not nearly as bad as parts of Europe. With a super El Nińo coming this year, I worry it will get even worse. Yes, we know what’s causing this heat—it’s the carbon, duh—but we really aren’t making enough progress. I’m not “environmental strategy guy”, but if I were, I’d have some ideas of what I’d try. Honestly, for years I’ve been intrigued by the work of the folks at MEER—whose plan, super simply, is to put up mirrors to reflect heat (while continuing the important work of decarbonization)—but I’m frustrated this idea hasn’t made more progress. (Other geo-engineering groups seem to get better press.) With heat like this—cancelling events, hurting economies and, most importantly, killing people—it seems like the time to push solutions! The “mirrors on the ground” solution has barely been tried.1 While entertainment companies may not “feel the heat”, lots of outdoors/experiential industries—concerts, theme parks and so on—will. Even movie theaters could benefit, since mirrors could help lower AC costs, which I imagine is not an insignificant expense, especially in the hotter areas of the country. So I do think the entertainment industry should prioritize this issue. Anyways, let’s get back into the entertainment strategy. I was about to write, “Hey, this week we don’t have any mergers and entertainment news to dive into,” but that’s not really true, since we had more updates on Paramount-Skydance and Warner Bros. Discovery. But the big story of the week involves a streamer and a Big Tech platform bundling their respective streamers. So I’ll write about the updates on Paramount buying Warner Bros., Versant making some moves, and a whole lot more. But we start with a surprising deal: Peacock licensing their content to YouTube Premium. Let’s dive in! Subscribe Most Important Story of the Week - Peacock’s Pricey Premium Partnership The story of the week is Comcast’s2 NBC-Universal’s Peacock making a deal with Google’s YouTube’s YouTube Premium subscription product to embed their content. And I’ll say this up front: Someone made a terrific deal. The question is who. And I’ll be honest: I don’t know. Let me explain why, including why this deal exists, the pros and cons for each side, the biggest unknown, and what that says about the streaming wars. Customers Love Bundles (But YouTube Has Its Own Issues) We’re just getting started with this issue, but the rest is for paid subscribers of the Entertainment Strategy Guy, so if you’d like to find out… Why customers love bundles… But why I’m worried about YouTube’s integration... How Peacock is trading scale for control… And the reason they likely made this deal... The odd budget math for this deal... Whether or not I think the Paramount-Skydance/WBD deal is more likely after the latest settlement... Versant making moves and why that’s good for Hollywood… Another distributor going out of business… ...and a whole lot more! ...please subscribe! We can only keep doing this great work with your support.

60,000-year-old ostrich eggshell engravings reveal a surprisingly sophisticated human mind

More than 60,000 years ago, humans in southern Africa were engraving ostrich eggshells with intricate geometric patterns that appear far more organized than previously realized. Researchers found recurring grids, parallel lines, right angles, and repeated shapes, suggesting the designs followed deliberate rules rather than being improvised. The engravers may even have planned entire patterns in their minds before carving them.

Business Restructuring Review Vol. 25 No. 4 July-August 2026

In This Issue New York Bankruptcy Court: Premature Allegations of Creditor Mistreatment Insufficient to Deny Chapter 15 Recognition of Foreign Restructuring Proceeding In In re ARD Finance, S.A., No. 25-12794 (MG), 2026 WL 817458 (Bankr. S.D.N.Y. Mar. 25, 2026), the U.S. Bankruptcy Court for the Southern District of New York was presented with a petition seeking chapter 15 recognition of Luxembourg's recently enacted bankruptcy law governing judicial reorganization proceedings. The court granted the petition, turning aside challenges to recognition voiced by a creditor group arguing that recognition should be denied based upon allegations of unfairness to creditors in the Luxembourg proceeding that would make recognition manifestly contrary to U.S. public policy. According to the bankruptcy court, recognition was warranted because: (i) the rules and procedures governing the proceeding under Luxembourg law were fundamentally fair; (ii) the petition otherwise satisfied chapter 15's recognition requirements; and (iii) the creditor group's allegations were premature, given the fact that the Luxembourg court presiding over the debtor's restructuring proceeding had not confirmed a restructuring plan, and all creditors had the right to participate fully and voice their objections in the proceeding (including the right to appeal an order approving a plan). Apr. 6, 2026), the U.S. Bankruptcy Court for the Southern District of Florida granted in part and denied in part post-recognition motions filed by an insider of a foreign debtor seeking to bar or limit discovery sought by the debtor's foreign representative concerning allegedly voidable transfers involving the debtors' U.S. real property. According to the court: (i) although chapter 15 includes its own discovery provisions among the relief that may be granted to a foreign representative, the expansive discovery available in cases under other chapters of the Bankruptcy Code is also available in chapter 15 cases; (ii) the discovery sought by the foreign representative was permissible; (iii) discovery regarding matters that were the subject of a pending adversary proceeding had to be undertaken under the more restrictive rules applicable to such proceedings; and (iv) a discovery request would be barred to the extent that it sought production of documents or testimony from a subpoenaed entity that exceeded the geographic limitations specified in such rules. (In re Credito Real S.A.B. de C.V. SOFOM, E.N.R.), 677 B.R. 192 (D. Del. 2026), appeal filed, No. 26-2356 (3d Cir. June 5, 2026), the U.S. District Court for the District of Delaware affirmed a bankruptcy court order granting chapter 15 recognition to a Mexican "concurso mercantile" proceeding and enforcing nonconsensual third-party releases approved by the Mexican court. Agreeing with the bankruptcy court that the releases were not manifestly contrary to U.S. public policy, the district court concluded: "It is well settled that U.S. bankruptcy courts can give effect to foreign orders in recognized foreign proceedings pursuant to the authority granted in Chapter 15, even when those orders contain relief unavailable under U.S. law. [The appellant's] arguments misconstrue the Supreme Court's narrow holding in Purdue, applicable in Chapter 11 cases, as well as the statutory framework of Chapter 15 and its core policy objectives. Accordingly, I will affirm the Enforcement Order." The ruling has been appealed to the U.S. Court of Appeals for the Third Circuit. EP Energy E&P Co., LP (Matter of EP Energy E&P Co., LP), 169 F.4th 609 (5th Cir. 2026), the U.S. Court of Appeals for the Fifth Circuit affirmed lower courts' rulings disallowing a creditor's administrative expense claim. It also rejected the creditor's argument that, because the claims were predicated on state law, a state court should adjudicate the merits of the state law causes of action before the bankruptcy court could allow or disallow the claim as an administrative expense. According to the Fifth Circuit, even though the causes of action were based on state law, the bankruptcy court had jurisdiction to determine whether the creditor's claims should be conferred with administrative expense priority in the debtors' chapter 11 case. [read more …] New York Bankruptcy Court: Dismissal of Involuntary Chapter 11 Case Filed Prior to Commencement of Foreign Restructuring Proceeding Unwarranted In In re Xinyuan Real Estate Co. Ltd., No. 25-10745 (PB), 2026 WL 592250 (Bankr. S.D.N.Y. Mar. 3. 2026), the U.S. Bankruptcy Court for the Southern District of New York considered the bona fides of an involuntary chapter 11 petition filed by certain holders of U.S. dollar-denominated notes against a holding company for a group of Chinese property development companies that filed a restructuring proceeding in the Cayman Islands after the noteholders filed the involuntary chapter 11 petition. The court denied the debtor's motion to dismiss the chapter 11 case. Given the timing of the filing of the Cayman Islands restructuring proceeding, the absence of any progress in the proceeding for seven months, the debtor's need to restructure notes governed by U.S. law, and the debtor's lack of any meaningful contacts to the Cayman Islands, dismissal of the chapter 11 case was unwarranted under the applicable provision of the Bankruptcy Code, international comity, or the doctrine of forum non conveniens. Union, No. 24-70277-JAD, 2026 WL 560452 (Bankr. W.D. Pa. Feb. 27, 2026), a chapter 7 trustee sought court approval to sell certain avoidance actions to a creditor of the debtor's estate. Potential targets of the subject avoidance actions objected, arguing that such claims were nontransferable powers of the trustee rather than saleable estate property and urging the court to approve their competing settlement with the trustee. The U.S. Bankruptcy Court for the Western District of Pennsylvania disagreed with the potential defendants, holding that they lacked standing to object to the proposed sale, that avoidance actions are indeed estate property, and that the sale—rather than the settlement—best served the estate's interests. Buddy Ayers Construction Inc., No. 25-6, 2026 WL 1686028 (U.S. June 11, 2026), the U.S. Supreme Court overturned a Fifth Circuit decision judicially estopping a chapter 13 debtor from asserting a personal injury claim against a construction company because the debtor failed to disclose the claim during his bankruptcy case. In so ruling, the Court held that "[t]he Fifth Circuit erred by artificially narrowing its inquiry to whether the debtor had knowledge of the underlying facts or a potential motive to conceal the claim." It represents the first time that the Court has applied judicial estoppel in the bankruptcy context, although it has suggested in other contexts that it may be inappropriate where an inconsistent legal position resulted from "inadvertence or mistake." Also in June, the Court denied petitions for certiorari in a few notable bankruptcy cases. The article discussed U.S. Bankruptcy Judge Christopher Lopez's July 7, 2026, ruling that participating lenders in Serta Simmons Bedding's 2020 non-pro rata uptier exchange breached the credit agreement's ratable-sharing provision, and awarding excluded lenders more than $261 million in damages. The opinion resolves six years of litigation related to Serta's 2020 transaction, where it raised $200 million in new financing and exchanged $1.2 billion of term loans for $875 million in superpriority debt. Judge Lopez found that the debt-for-debt exchange constituted a "payment" under the credit agreement, requiring proportional sharing among lenders, and dismissed various defenses raised by the participating lenders. Chile declares health alert for hantavirus

The Chile Ministry of Health issued a Health Alert for hantavirus and other diseases, such as some arboviruses and avian influenza. This is the first time this measure has been taken and it will be in effect until July 31, 2027 and it extends from the Atacama region to the Magallanes region. “Hantavirus causes a disease that is endemic to Chile, transmitted by the long-tailed pygmy rice rat that lives in rural and semi-rural areas throughout almost the entire country. As a ministry, we are constantly monitoring its behavior and are very concerned and actively working because this year the virus's lethality has increased, and for this reason, we decided to declare this alert. As of last week, there were 46 confirmed cases and 18 deaths, representing a 39% lethality rate,” reported the Undersecretary of Public Health, Dr. Alejandra Pizarro. Cases have occurred in the regions of Valparaíso, Metropolitan, O'Higgins, Maule, Ñuble, Biobío, La Araucanía, Los Ríos, Los Lagos, and Aysén. By comparison, in 2025, there were 44 infections and eight deaths (18% case fatality rate). The health alert, which is preventative and prepared, will allow for the granting of extraordinary powers in the event of serious health emergencies to strengthen surveillance, ensure timely resource management, hire specialized personnel, implement health control measures, and expedite the acquisition of supplies through direct procurement. The alert does not imply that there is an ongoing epidemic or that the healthcare system is overwhelmed. Subscribe to Outbreak News TV on YouTube “Hantavirus is not exclusively a summer virus, as the long-tailed pygmy rice rat is present year-round. Therefore, we urge everyone to take extreme precautions: avoid touching rodents, ventilate homes before entering if they have been closed, clean unused spaces with water and bleach, and keep garbage covered and food stored away. Furthermore, it is crucial to be aware of the symptoms: fever, intense muscle pain, and difficulty breathing. If someone experiences these symptoms and has been in rural or semi-rural areas where the long-tailed pygmy rice rat may have been present, they should immediately go to a health center and inform the medical staff so that a hantavirus diagnosis can be considered promptly,” the official added. Since December 2025, the Pan American Health Organization (PAHO) has maintained an epidemiological alert due to the rise in hantavirus cases throughout the Southern Cone, and that the Ministry of Health had an epidemiological alert in place since November of last year. Chile eliminates leprosy As mentioned above, the Health Alert decree also covers diseases transmitted by the Aedes aegypti, Aedes vexans, and Anopheles pseudopunctipennis mosquitoes, such as dengue and Zika, which, according to the alert, “have a high epidemic potential, which could generate high demand and overload for health facilities.” For these diseases, the alert is in effect from Arica to Los Ríos. The authority stressed that it is essential to prevent mosquitoes from breeding in stagnant water and to monitor any suspected cases of people arriving from abroad infected with any of these diseases, in order to prevent any of these vectors from biting a sick person and starting to spread the disease. In the case of avian influenza, the alert was extended to the entire country, because unlike other years, the disease has been concentrated in wild and farm birds, not in poultry farms, increasing the risk of exposure for people. “Graphic Talk About Science: Adventures in Science Engagement”

Mount Wilson Observatory (MWO), Southern California’s esteemed home to several of the most groundbreaking astronomical discoveries in history, welcomes the public to the third Saturday Evening Talks & Telescopes of the season on Saturday, July 25, 2026. MWO is honored to present “Graphic Talk About Science: Adventures in Science Engagement,” a lecture by Clifford V. Johnson, from UCSB. This lecture explores how graphic storytelling can make cutting-edge physics more accessible, as Johnson discusses the science and creative process behind his illustrated book, “The Dialogues: Conversations About the Nature of the Universe.” Tickets are available here: www.mtwilson.edu/events/lecture072526 During the six-month season, each Talks & Telescopes event runs from 5:30pm to 11:30pm with the “talk” portion of the evening beginning in the Observatory’s Auditorium. The 60+ minute presentation is followed by picnic dining—bring your own, or purchase from a food truck or caterer—and then, after the sun goes down, stargazing through Mount Wilson’s immense telescopes, the largest in the world made available to the public. Additional stargazing around the grounds will be available thanks to members of the Los Angeles Astronomical Society. Both the 60-inch telescope and the 100-inch—the latter famously used by Edwin Hubble to discover the expanding universe—will be available for viewing the night sky. Priced at $50, this event series offers the most economical stargazing event option on the mountain. Tickets and more information are available on Mount Wilson Observatory’s website here: www.mtwilson.edu/lectures. Advance purchases are highly recommended. UPCOMING SATURDAY EVENING TALKS & TELESCOPES OF THE 2026 SEASON August 22: “Towards a Functional Cosmology” www.mtwilson.edu/events/lecture082226 Join artist Lita Albuquerque for a lecture on her multidisciplinary practice at the intersection of art, science, and cosmology. Drawing on decades of work across painting, land art, performance, and installation, she reflects on projects created in remote, astronomy-linked environments and how they shape her exploration of time, space, and human perception. September 19: “The Brightness of Stars: Henrietta Leavitt and the Transformative Nature of Attention in Art and Science” www.mtwilson.edu/events/lecture091926 Visual artist and author Anna Von Mertens explores the life and legacy of Henrietta Leavitt, whose study of variable stars enabled the first reliable measurements of cosmic distances. Working among the Harvard Computers, Leavitt laid the foundation for breakthroughs at Mount Wilson, including Harlow Shapley’s mapping of the Milky Way and Edwin Hubble’s discovery of an expanding universe. Drawing from her book “Attention Is Discovery: The Life and Legacy of Astronomer Henrietta Leavitt,” Von Mertens shares archival materials alongside her own artwork inspired by Leavitt’s life, to celebrate how careful attention leads to both scientific discovery and a meaningful life. October 17: “The Duality of Genius and Struggle: G.E. Hale” www.mtwilson.edu/events/lecture101726 This talk, presented by Sam Hale, explores the extraordinary life and legacy of his grandfather, George Ellery Hale—the visionary behind some of the world’s most important astronomical institutions. Drawing on both history and personal connection, Sam Hale offers insight into a legacy that continues to shape science and culture today. VISITING MWO The gate to Mount Wilson’s campus opens at 10:00am daily and closes at 5:00pm from early April through November. Entrance to the grounds is free. Visitors can hike, gaze at the telescope domes and towers that dot the landscape, and take a look at historic Mount Wilson photos and letters in the Museum. The Cosmic Cafe (www.mtwilson.edu/cosmic-cafe), located above the main parking lot at the Observatory entrance, is open on weekends in the spring, summer, and fall. In addition to traditional menu items such as hot dogs, drinks, and snacks, the Cafe offers wraps, salads, and sweet treats from Little Flower. PARKING A U.S. Forest Service Adventure Pass is required to park at the Observatory. A $5 day pass or a $30 dollar annual pass may be purchased at the Cosmic Cafe on weekends between 10:00am and 5:00pm. During the week, passes are available at locations around Los Angeles. The most convenient location before heading up is at the Shell station in La Canada Flintridge at the bottom of the Angeles Crest Highway (https://find.shell.com/us/fuel/10007957-4530-angeles-crest-hwy/en_US). Visit the U.S. Forest Service website for more information about Passes and other locations to buy them: www.fs.usda.gov/r05/passes/adventure-pass For more information about Visiting Mount Wilson Observatory, please visit: www.mtwilson.edu/visiting NOT ADA-COMPLIANT Please be advised that access to the 100-inch dome is via an open-air, 53-step staircase inside the building. The ’Gay’ Attacks on Lindsey Graham Are All About Politics

Was Lindsey Graham gay? As the author of a book about the history of gay Washington, D.C., it’s a question I’ve been asked frequently for years, and even more so since his sudden death last weekend. The South Carolina Republican’s lifelong confirmed bachelorhood, vocal intonation, and Southern dandy demeanor (if not sartorial choices) prompted many to conclude that he was, as they say in that part of the country, “light in his loafers.” Graham’s repeated attestations to the contrary had zero effect on those invested in the narrative that he was. Only about the matter of J. Edgar Hoover’s rumored cross-dressing (for which there is much circumstantial but no direct evidence) am I questioned more. Whenever I’ve been asked to speculate upon Graham’s sexuality—and speculate was all that I or anyone else could do—I always answered the question honestly. While my personal sense is that Graham was probably gay, as a journalist and a historian I cannot rely on my intuition to make factual assertions. (Gaydar hasn’t yet been scientifically perfected.) Given the absence of any known female or male romantic interests, Graham may very well have been a heterosexual unlucky in love. He might also have been asexual. Barring the highly unlikely postmortem emergence of a personal diary or some other unassailable evidence attesting to Graham’s innermost yearnings, we will never know the answer. As is depressingly the case these days when a public figure dies, a chorus of voices reveled in Graham’s passing, many of them making light of his presumed homosexuality.
