Business Restructuring Review Vol. 25 No. 3 May-June 2026
In This Issue Texas Bankruptcy Court Adopts Barnet Rule Requiring Foreign Debtor to Have U.S. Assets to Be Eligible for Chapter 15 Relief In In re Siu-Fung Ceramics Holdings Limited, No. 24-33299, 2026 WL 382424 (Bankr. S.D. Tex. Feb. 10, 2026), the court denied petitions for chapter 15 recognition of Hong Kong bankruptcy and liquidation proceedings commenced on behalf of an individual debtor and a group of companies that he owned or controlled. According to the court: (i) the corporate debtors' Hong Kong liquidation proceeding was not eligible for chapter 15 recognition because the attorney retainer upon which such relief was based was not funded until nine months after the chapter 15 petition date; and (ii) the individual debtor's Hong Kong bankruptcy case could not be recognized because the debtor's "center of main interests" on the chapter 15 petition date was not in Hong Kong, and he did not even maintain an "establishment" there. Tex. 2026), appeal filed, No. 26-20166 (5th Cir. Apr. 14, 2026), cross appeal filed, No. 26-20166 (5th Cir. Apr. 24, 2026), the U.S. District Court for the Southern District of Texas addressed consensual third-party releases and gatekeeping provisions in the aftermath of the U.S. Supreme Court's ruling in Harrington v. Purdue Pharma L.P., 603 U.S. 204 (2024). Consistent with existing Fifth Circuit precedent, the court confirmed that, in appropriate circumstances, consent for third-party releases may be obtained through a creditor's failure to opt out of granting that consent. But, the court ruled, consent through an opt-out mechanism essentially can never be inferred for creditor classes that stand to receive no recovery under a chapter 11 plan and that are deemed to reject the plan by operation of applicable bankruptcy law. Instead, those classes must affirmatively opt in to any release. The court also narrowed and remanded the bankruptcy court's acceptance of a broad gatekeeping provision, ruling that such provisions must correspond to the restrictions established by Fifth Circuit precedent. The Bankruptcy Code also permits recovery of an avoided transfer from not only the initial recipient, but also from subsequent transferees. Courts disagree over whether a transfer must actually be avoided before the trustee can seek recovery from a subsequent transferee and whether the initial transferee must also be a defendant in the recovery litigation against a subsequent transferee. The U.S. Bankruptcy Court for the District of Delaware weighed in on this debate in Phillips v. SS Associates LLC (In re ONH AFC CS Investors, LLC), No. 23-10931 (CTG), 2026 WL 312892 (Bankr. D. Del. Feb. 4, 2026). The court adopted the majority view, ruling that the initial transferee need not be a defendant in avoidance and recovery litigation against a subsequent transferee, but that the trustee must establish the elements necessary to avoid the initial transfer as part of the recovery litigation. However, the Bankruptcy Code provides no guidance as to the meaning of "adequate assurance" other than with respect to shopping center leases. In In re Broadway Realty I Co. LLC, No. 25-11050, 2026 WL 147505 (Bankr. S.D.N.Y. Jan. 19, 2026), the U.S. Bankruptcy Court for the Southern District of New York examined this issue in connection with a proposed assignment of thousands of residential leases as part of a free-and-clear sale of debtors' properties. The court held that "adequate assurance" does not mean a guarantee of the assignee's future performance, but merely demonstration that the assignee has the ability to satisfy the underlying obligations. The bankruptcy court also ruled that an exculpation provision in the debtors' chapter 11 plan exonerating non-estate fiduciaries from liability for actions taken in connection with the chapter 11 case was unobjectionable, provided it was limited in scope to postpetition conduct and actions taken in connection with implementation of the plan after its effective date. Sony forecasts lower gaming business sales amid memory price surge
STORY: Sony forecast lower sales in its gaming business due to a memory chip price surge. The tech giant said Friday annual sales in the segment would fall 6% to $28 billion. It also blamed lower hardware sales as its PlayStation 5 ages.Although the Japanese company said it expects gaming profit to rise 30%.That's due to higher first-party software sales and no repeat of the impairment loss it recorded a year earlier.Sony has been praised by analysts in recent years for its transformation into an entertainment powerhouse. But markets have grown concerned about the impact of AI on its business, while Sony also faces a perceived lack of growth catalysts. Both factors have weighed on shares in recent months.Investors are also concerned about the impact of a memory-chip price surge. As well as disruption to supply chains from the Iran war on margins at electronics manufacturers. The firm said it sold 1.5 million PS5 consoles in the fourth quarter, which was a 46% drop on the same period a year earlier.Looking ahead, the PS5 is expected to receive a major boost from the launch of the delayed "Grand Theft Auto VI."The game is due to release in November.Sony said in February it had secured the minimum quantity of memory needed to manage the year-end shopping season. Sony also said it sees higher profits at its pictures and chips units but a lower profit at its music business. The group reported operating profit for the year ended March rose 13.4% to $9.2 billion - below analyst forecasts. Meanwhile, rival Nintendo said it expects to sell 16.5 million units of its Switch 2 console in the financial year ending March 2027.It also projects profit to rise 2.7% to $2.36 billion. But, like with Sony, investors are concerned about the possible impact of a memory price surge on margins.

Punk Politics/Camp Costume is a fashion exhibition curated by (some of my) brilliant Parsons students!
I have the most amazing students. I teach Fashion Journalism at Parsons, as part of its MA Fashion Studies degree, though I have students of all different disciplines throughout the New School in my class — from fine-art photographers to investigative journalists to textile designers. And I learn about all sorts of fascinating things from them, like that designers are adding faux sweat stains to their garments now (part of a trend piece about “anatomy core”) and that real “French girl style” is actually about being “cunti cunta” (aka loud, rude, too much, liberated). So when I found out that some of my students were curating a fashion exhibition opening tonight(!!!), I just knew that it would be brilliant too. Wearable Art is a reader-supported publication. To receive new posts and support my work, consider becoming a free or paid subscriber. Subscribe It’s called Punk Politics/Camp Costuming1, and it’s up through May 10 at La Sudestada, the wonderful gallery and concept store in Greenpoint, Brooklyn. I asked the exhibit’s lead curator, Ella Birney (a talented costume and knitwear designer from Belfast who also happens to be in my class), all about it. This conversation has been edited for length and clarity. Tell me about the idea of this exhibition and how it came about. Ella Birney: For our Fashion Curation class, we had to pitch [exhibition] proposals to our professor, Jessica [Glasscock], and I really wanted to continue on the themes that I was exploring in my BA when I was studying in London a couple of years ago. My BA was very punk-inspired and very political. Everything I do, as you know from my writing, always has a slight Irish, political twist to it2. So in my BA project, it was looking at knitwear as a conveyor for exploring political identity in somewhere like Ireland, where identity is such a point of contention. And looking at the images that I generated from that project, there was something so camp about the whole thing. Like, it’s so playful and in bad taste to do a political message — like a knitted Union Jack — out of mohair. There’s something very camp about that. So that’s where it kind of became punk politics/camp costuming — looking at how from the 1970s to now there’s been protest through costume and clothing. What was your BA in? It was fashion textiles, knitwear. Very craft heavy, which — craft is never taken seriously either. That’s also a kind of spin [on the punk/camp thing]. The Union Jack knit that you made is included in the show — what is camp about knitting a Union Jack out of mohair? The whole ethos of camp is kind of bad taste, doing things that are tongue in cheek and a bit wink, wink, nudge, nudge. Like, this is a bit silly. Everything I do is like, this is a bit silly. Like, being from the North of Ireland, everything you do is political. So it’s like, everything is going to be looked at in a certain lens anyway, so we may as well lean into it. So the Union Jack was because I come from a mixed marriage — Protestant-Catholic. And in the North of Ireland, that’s still a big deal. And even though I’m a Catholic and brought up in a very like Catholic Nationalist family, there [were] Union Jacks [the symbol of the United Kingdom] on my street. So I was like, then I’m gonna make your Union Jack out of knitwear. And then that kind of all linked back to the punk movement that Vivian Westwood forefronted in the late 70s, [with her stores] Let It Rock and Seditionaries. How did you source your items? Once we decided on this exhibition idea, everyone in the class was put to [think about] what do you think can fit into punk politics/camp costuming and finding designers that fit that brief. Me and my co-curators, Dulcinea Flores and Allison Gramando, made a brief to send out — with a mood board and color stories, stuff like that — and then everyone kind of got to work emailing people. We reached out to other Parsons grads. Even through Instagram stories we’ve been able to reach so many people who were like, Yeah, of course, I’ll write something for this, or Please — let me submit stuff. It actually was quite easy sourcing things. … The Parsons thing gets you quite far. What were some great pieces you got? There’s a Brooklyn-based, nonbinary artist called Buzz Slutsky. I can’t even remember how I found them, but I came across this crazy, shoe thing — they had made all these different shoes out of papier-mâché, and the story behind them is so fantastic, so interesting. They were just so obliging, like, Of course, you can have these for a few weeks. I was really happy about that. And then we have art from a collective here called Art Comes First. And they lent loads of really amazing pieces that just tied everything together. You have your Union Jack knit in the show too. Any other pieces that you made? There’s three of my BA mohair knits. There’s the Union Jack. There’s a mohair with the word “No” — which is based on an old political campaign in Ireland that was “Ulster says no to sodomy.” And then there’s another one that is red, white and blue, like the Union Jack, but has the word “Catholic” on it and lots of holy medals. I’m so happy I got to include those. How many pieces are in the show? Between 49 and 52, something like that. A load of clothing and accessories, shoes. There’s a Brooklyn-based Irish photographer who’s given us photos. There’s also a shopping cart that is an art piece by Art Comes First that has gold knuckle dusters as the handles. There’s also lots of T-shirts, original pins from the 70s and 80s that were from people’s dads. I also brought my record player, and all of [co-curator] Allison’s dad’s original albums so everyone could play records. Oh my gosh! Yeah, it’s cool. Anything else you would like to add? If we get to do an exhibition, why would we not make it political in this day and age? I hope that people come. There’s a lot of history, because it starts back in the 70s. It’s not like chronological or anything, but there are historical objects. I hope people come out of it thinking, out of all the really horrendous decades of the 70s and 80s and 90s, all these amazing subcultures happened. There are horrible political times, but there’s art that comes out of it that lasts. Punk Politics/Camp Costume is on view May 1-10 at La Sudestada, 67 West St. Suite 513, Greenpoint, Brooklyn. RSVP for the opening Friday May 1 6pm-8pm here. There’s also a button-making and patch-making workshop and artist talk May 9. Follow the show’s Instagram page @punkxcamp.parsons. Special shout out to all the students who put on this show: Ella Birney (lead curator), Dulcinea Flores (curator), Allison Gramando (curator), Pierre Sanon (lead exhibition designer), Eliana Daneshvari (exhibition designer), Reilly Lowell (editor), Jess Gayo (researcher/writer), Joyce Gayo (researcher/writer), Maria Magdalena Ugarte Montero (researcher/writer), Cassidy Colarik (exhibition press officer), Shelby Shovein (educator), Sarah Mahnke-Baum (educator), Trinidy Coleman (graphic designer), and Leonie Soravia (project manager). Jessica Glasscock was the faculty advisor. 1 The website is definitely worth checking out. 2 This is true!

BigXthaPlug spent eight months in Nashville making a country-rap album that debuted at No. 7 on the Billboard 200, put “All the Way” with Bailey Zimmerman at No. 4 on the Hot 100, got him a Rolling Stone cover, and filled arenas with Jelly Roll. And then he came back to Dallas, rounded up four of his signees, and made a gangsta-rap record with N.W.A’s Straight Outta Compton on the cover. 6WA is the second group release from 600 Entertainment, named after the 600 block of Meadowridge Street in Ferris, Texas, where BigX and his people grew up. The whole thing is loaded with West Coast samples. From N.W.A.’s “8Ball,” Eazy-E’s “Real Muthaphuckkin G’s” and “Boyz-N-The-Hood,” Ice-T’s “6 in the Mornin’,” Snoop Dogg’s “Nuthin’ but a ‘G’ Thang” and more. BigX is staking his name on the lineup he built—Rosama, MurdaGang PB, Yung Hood, KevanGotBandz, KaineMusic—and claiming a lineage from 1,400 miles away while insisting Dallas is its own thing. A million dollars in cash, split and handed straight to his mother. That’s the first place BigX goes on “From the Bottom.” He’d probably still be in the streets if he didn’t have his son and daughter. He only started rapping to make life better for Carter. Couldn’t start his car back then, now people get starstruck at Starbucks, and he throws the whole field away in one sentence: “How you think we competin’? You on the same bag, I just made me some millions off country.” Goyard bags off a Nashville payday, and he wants you to know exactly how far he’s come from everybody else. “Safe to Say” does something similar but looser. It’s a straight Ice Cube “It Was a Good Day” flip, and BigX nails it. Wakes up, checks both phones, nobody’s locked up, kid accounts look good. Gets pulled over, only catches a warning. Pulls up on the squad to liquor, ladies, and haze. Rosama takes the second verse and matches him. Wakes up to his girl cleaning his cuticles, twins playing peekaboo, pays off his car, calls a cousin, sees the opps and they don’t trip. Lawyer calls, he beat his case. Rosama is the strongest voice in the 600 camp after BigX, and “Life of a Gangster” is why. Third person, riding low, blacked-out windows, snub-nose revolver. A character who chose sticking people up over selling dope. “Quick eraser like a number-two pencil.” He never breaks character, and his delivery drops lower and slower than anything he does on the group cuts, like he’s telling you something at a cookout that he probably shouldn’t. Then on “Long Live Fre$h” he’s a completely different rapper. “Short-bus diamonds, these bitches retarded,” wide-body Durango he can’t even park. That kind of range matters on a group record. MurdaGang PB’s best verse is on the title track. Feds at his door at 6 AM, cameras busted, flushing dope, ram truck putting everybody on the floor. Yung Hood on “The Hottest” just lays out four reasons to keep hustling. Who wants to be broke, women cost money, you need bail, and home has to be straight. It’s funnier and more honest than most rappers get when they’re trying to explain why they sell drugs. KevanGotBandz on “Ain’t Never Slowin’ Down” talks about his father getting caught on the dope while he’s sitting on $300K somewhere in the hills, which is a specific kind of guilt that doesn’t usually make it onto crew tapes. KaineMusic, the newest signee, takes the back half of “Who Dunnit” and introduces herself in third person—“Took flight just to show these hoes how to perform”—but it’s too short to know if she can hold a full song. The flex tracks fill the middle of the LP and mostly run together. “I Go” is Rosama and PB trading brands, guns, and food punchlines. Rosama’s “anemic, my iron tucked low in this shirt” is a slick gun bar, PB fires back with “.223 with a clip ‘bout as big as a toddler” and “I go Burger King, stay with that whopper.” Quick, funny sometimes, but it’s all shopping lists. “Dopeman” is a chant. “6ixer Party” brings Snoop Dogg, who does exactly what you’d expect Snoop Dogg to do. BigX contributes the night’s wildest overshare: “She say she brought a friend too, well, I’m tryna put sausage on her dental.” These songs move fast and don’t overstay, but three or four of them could trade verses and nobody would catch it. Midway through, The D.O.C. shows up for a spoken-word interlude. Tracy Curry. West Dallas native, former N.W.A affiliate, co-writer on a lot of the records getting sampled on this very album. He thanks BigX for the tribute and then gets direct: “This your time, this DFW time. You need to do it like we do it down here.” Leave bread crumbs so everybody behind you can eat. Keep God in your life. It’s fatherly and generous, and it does raise the question of whether 6WA follows that advice. The album borrows heavy. The cover art, the Eazy-E samples, “Amerikkka’s Most Wanted” opening with a direct “Boyz-N-The-Hood” lift, Yung Hood rapping “Flag on my left side, Crip until I die.” But the stuff that actually stays with you is Dallas. BigX talking about Pleasant Grove, Rosama calling himself a country boy, PB recounting a raid that could’ve been last Tuesday. The record smells most like itself when it smells like Ferris, Texas, and least like Compton. BigX on “The Hottest” says his father was the first person he knew who had chickens. Not the way rappers usually wave at the drug trade. He means his actual father, his actual family. On “600 Degrees,” Rosama compares his chopper’s stutter to a speech disorder, PB claims he still has the block on his back even after leaving the city. BigX closes that one saying he used to spin and smack, and now the plaques are platinum. Thirty-two minutes was right for this. Nobody overstays, Tony Coles and Rance and Charley Cooks keep the production punchy, and BigX gives his signees real room instead of crowding every song. 6WA doesn’t reinvent anything. Five rappers, good beats, short clock. Most of what they say you’ve heard before. Some of it—the million to his mother, the cuticles and peekaboo, the four reasons to hustle—you won’t forget.
