Business Restructuring Review Vol. 25 No. 4 July-August 2026

In This Issue New York Bankruptcy Court: Premature Allegations of Creditor Mistreatment Insufficient to Deny Chapter 15 Recognition of Foreign Restructuring Proceeding In In re ARD Finance, S.A., No. 25-12794 (MG), 2026 WL 817458 (Bankr. S.D.N.Y. Mar. 25, 2026), the U.S. Bankruptcy Court for the Southern District of New York was presented with a petition seeking chapter 15 recognition of Luxembourg's recently enacted bankruptcy law governing judicial reorganization proceedings. The court granted the petition, turning aside challenges to recognition voiced by a creditor group arguing that recognition should be denied based upon allegations of unfairness to creditors in the Luxembourg proceeding that would make recognition manifestly contrary to U.S. public policy. According to the bankruptcy court, recognition was warranted because: (i) the rules and procedures governing the proceeding under Luxembourg law were fundamentally fair; (ii) the petition otherwise satisfied chapter 15's recognition requirements; and (iii) the creditor group's allegations were premature, given the fact that the Luxembourg court presiding over the debtor's restructuring proceeding had not confirmed a restructuring plan, and all creditors had the right to participate fully and voice their objections in the proceeding (including the right to appeal an order approving a plan). Apr. 6, 2026), the U.S. Bankruptcy Court for the Southern District of Florida granted in part and denied in part post-recognition motions filed by an insider of a foreign debtor seeking to bar or limit discovery sought by the debtor's foreign representative concerning allegedly voidable transfers involving the debtors' U.S. real property. According to the court: (i) although chapter 15 includes its own discovery provisions among the relief that may be granted to a foreign representative, the expansive discovery available in cases under other chapters of the Bankruptcy Code is also available in chapter 15 cases; (ii) the discovery sought by the foreign representative was permissible; (iii) discovery regarding matters that were the subject of a pending adversary proceeding had to be undertaken under the more restrictive rules applicable to such proceedings; and (iv) a discovery request would be barred to the extent that it sought production of documents or testimony from a subpoenaed entity that exceeded the geographic limitations specified in such rules. (In re Credito Real S.A.B. de C.V. SOFOM, E.N.R.), 677 B.R. 192 (D. Del. 2026), appeal filed, No. 26-2356 (3d Cir. June 5, 2026), the U.S. District Court for the District of Delaware affirmed a bankruptcy court order granting chapter 15 recognition to a Mexican "concurso mercantile" proceeding and enforcing nonconsensual third-party releases approved by the Mexican court. Agreeing with the bankruptcy court that the releases were not manifestly contrary to U.S. public policy, the district court concluded: "It is well settled that U.S. bankruptcy courts can give effect to foreign orders in recognized foreign proceedings pursuant to the authority granted in Chapter 15, even when those orders contain relief unavailable under U.S. law. [The appellant's] arguments misconstrue the Supreme Court's narrow holding in Purdue, applicable in Chapter 11 cases, as well as the statutory framework of Chapter 15 and its core policy objectives. Accordingly, I will affirm the Enforcement Order." The ruling has been appealed to the U.S. Court of Appeals for the Third Circuit. EP Energy E&P Co., LP (Matter of EP Energy E&P Co., LP), 169 F.4th 609 (5th Cir. 2026), the U.S. Court of Appeals for the Fifth Circuit affirmed lower courts' rulings disallowing a creditor's administrative expense claim. It also rejected the creditor's argument that, because the claims were predicated on state law, a state court should adjudicate the merits of the state law causes of action before the bankruptcy court could allow or disallow the claim as an administrative expense. According to the Fifth Circuit, even though the causes of action were based on state law, the bankruptcy court had jurisdiction to determine whether the creditor's claims should be conferred with administrative expense priority in the debtors' chapter 11 case. Ltd., No. 25-10745 (PB), 2026 WL 592250 (Bankr. S.D.N.Y. Mar. 3. 2026), the U.S. Bankruptcy Court for the Southern District of New York considered the bona fides of an involuntary chapter 11 petition filed by certain holders of U.S. dollar-denominated notes against a holding company for a group of Chinese property development companies that filed a restructuring proceeding in the Cayman Islands after the noteholders filed the involuntary chapter 11 petition. The court denied the debtor's motion to dismiss the chapter 11 case. Given the timing of the filing of the Cayman Islands restructuring proceeding, the absence of any progress in the proceeding for seven months, the debtor's need to restructure notes governed by U.S. law, and the debtor's lack of any meaningful contacts to the Cayman Islands, dismissal of the chapter 11 case was unwarranted under the applicable provision of the Bankruptcy Code, international comity, or the doctrine of forum non conveniens. Union, No. 24-70277-JAD, 2026 WL 560452 (Bankr. W.D. Pa. Feb. 27, 2026), a chapter 7 trustee sought court approval to sell certain avoidance actions to a creditor of the debtor's estate. Potential targets of the subject avoidance actions objected, arguing that such claims were nontransferable powers of the trustee rather than saleable estate property and urging the court to approve their competing settlement with the trustee. The U.S. Bankruptcy Court for the Western District of Pennsylvania disagreed with the potential defendants, holding that they lacked standing to object to the proposed sale, that avoidance actions are indeed estate property, and that the sale—rather than the settlement—best served the estate's interests. Buddy Ayers Construction Inc., No. 25-6, 2026 WL 1686028 (U.S. June 11, 2026), the U.S. Supreme Court overturned a Fifth Circuit decision judicially estopping a chapter 13 debtor from asserting a personal injury claim against a construction company because the debtor failed to disclose the claim during his bankruptcy case. In so ruling, the Court held that "[t]he Fifth Circuit erred by artificially narrowing its inquiry to whether the debtor had knowledge of the underlying facts or a potential motive to conceal the claim." It represents the first time that the Court has applied judicial estoppel in the bankruptcy context, although it has suggested in other contexts that it may be inappropriate where an inconsistent legal position resulted from "inadvertence or mistake." Also in June, the Court denied petitions for certiorari in a few notable bankruptcy cases. Nicholas J. Morin (New York) was quoted in an article titled "Serta Ruling Offers Damages Road Map in Lender-on-Lender Disputes," published by Bloomberg Law on July 7, 2026. The article discussed U.S. Bankruptcy Judge Christopher Lopez's July 7, 2026, ruling that participating lenders in Serta Simmons Bedding's 2020 non-pro rata uptier exchange breached the credit agreement's ratable-sharing provision, and awarding excluded lenders more than $261 million in damages. The opinion resolves six years of litigation related to Serta's 2020 transaction, where it raised $200 million in new financing and exchanged $1.2 billion of term loans for $875 million in superpriority debt. Judge Lopez found that the debt-for-debt exchange constituted a "payment" under the credit agreement, requiring proportional sharing among lenders, and dismissed various defenses raised by the participating lenders. The case is Serta Simmons Bedding LLC v. AG Centre Street Partnership (In re Serta Simmons Bedding LLC), 2026 WL 1968535 (Bankr. S.D. Tex. Jul. 7, 2026). Does public health *need* MAHA?

Last week, our friend Dr. Craig Spencer sparked an ongoing volatile discussion with his Atlantic article “Public Health Needs MAHA.” Some have come out in strong dissent, others are cheering, and others are simply lamenting that we find ourselves in such a divided world to begin with. We will dare to dip our toes in these controversial waters, too. Does public health need MAHA? We think in some ways yes, and in other ways, no. MAHA leaders versus the everyday MAHA supporter The vitriol in this debate mostly comes from one collapsed distinction: the leadership of MAHA is not necessarily the same as the people who support it. Say “MAHA” and most people picture RFK Jr. Fair enough, as he coined the term and holds most of the power. And, yes, some MAHA followers treat Kennedy as something close to a saint. But talk to the grassroots, and it’s not a monolith. They’re Republicans, Democrats, and Independents. People who distrust vaccines and vaccine supporters. It’s a wide, eclectic coalition. The data backs this too: 4 in 10 Americans support the movement—that’s a lot of people! But according to polls, vaccines and medical choice (the issues most tied to Kennedy personally) are cited by only 4% as their reason for supporting the movement. For many, the motivations are much broader. Many MAHA supporters are signing up for the idea that “something needs to change” with health in this country. They’re asking good-faith questions about corporate influence on our health systems, health care costs, nutrition, chemicals, and clean air and water. These are all questions that plenty of public health professionals recognize as legitimate and also care about very deeply. Blurring the lines between the leadership and grassroots does real damage in two important ways: It hands the 4 in 10 exactly the narrative already fed—that the health ecosystem doesn’t listen, doesn’t care, and paints every critic with the same brush. It gives the actual bad actor more power. RFK Jr. has done irreparable damage and can’t be trusted. What the MAHA movement gets right A healthy population is something the public health field was literally built on, and many of these topics are things we have dedicated our lives to. Yet the MAHA movement has captivated nearly half the country in a way the public health establishment has failed to achieve. So that means MAHA is doing something right. Some of it may be timing (after a Covid-19 pandemic and deep frustration and mistrust with institutions). The movement also does three other things really well: 1. It gives a new, louder voice to system failures. While MAHA is not a monolith, one theme stays consistent across their stories: the system failed them. For some, it was the system that flooded their communities with opioids and then walked away. For others, it was the system that let their business collapse during Covid with no safety net in sight. For others still, it was the system that failed to help them manage a complex chronic illness, bouncing them from physician to physician without any real answers. And in many ways, our health ecosystems are failing Americans. Why are medical bills so incomprehensible? Why do some kids get a healthy school lunch and others don’t? Why do an epidemiologist and a MD/PhD student have to start newsletters in the middle of the biggest public health emergency in a century, just so people can get straight information? Because the systems failed. This deep-seated frustration driving many Americans to search for solutions elsewhere needs to be recognized. 2. MAHA has brilliant comms central to their efforts. MAHA figured out something most health institutions still have not: the information landscape changed. It’s participatory now, not top-down; influence runs through many nodes in a community, not one institution; and storytelling and telling audiences “what you really think” moves people more than data dumps do. MAHA goes where audiences are listening, using podcasts, social media, and memes in ways most health institutions would scoff at—but it works. 3. They are very good at organizing. A MAHA meeting feels like a rally: energy, speakers, music, and most importantly, an action for everyone. Someone’s writing the next policy brief, someone’s seeding a narrative, someone knows the next legislative deadline, someone’s sending the text messages for a campaign. None of this is new (ask the civil rights movement), but MAHA knows it works and has capitalized on it. What MAHA gets wrong This list could be much longer, and this newsletter has spent a lot of time covering it, but here are a few things: Poor use of scientific evidence. This is the fundamental problem with many MAHA policies: the hype outpaces the science, and experts are often villainized for pointing this out. MAHA leadership has traded real solutions for cheap wins. For example, instead of taking on the powerful food industry and passing real reforms, it has celebrated french fries made of beef tallow and taken out artificial dyes from still very sugary children’s cereal. These changes won’t move the needle on America’s diet. MAHA leadership has tried to dismantle vaccine access in the U.S. While many MAHA supporters emphasize other issues, the effort to change vaccine policy has become MAHA’s signature effort. This is not surprising given RFK Jr.’s extensive track record campaigning against vaccines. It has rallied behind the wrong leader. RFK Jr. has a decades-long track record of villifying doctors, scientists, and public health workers, well before he became HHS secretary. He is known for his decades-long work sowing distrust in vaccines as well as life-saving treatments like antiretroviral therapy for HIV. This is not a serious person who can move the needle on health in the U.S, and he has already done serious damage. Public health needs more than defense Defending the evidence is absolutely necessary so health in the U.S. doesn’t move further backward. The public health establishment is very good at defense. The problem is this defense often sounds like defending the status quo, which has failed many people. Public health needs to offer an alternative to RFK Jr.’s MAHA—one that is rooted in evidence, truly listens to and addresses people’s frustrations, and has innovative solutions and the courage to change the systems. How do we get there? Find common ground. Do you know what most people care most about? The abysmal cost of healthcare. Start there. Fight for the human loudly. Too often, communications and engagement center on science with a capital S, funding mechanisms, or the CDC/FDA/NIH. Not the person. So the public doesn’t see themselves in it. Instead, they see people fighting for the very powerful systems that they feel negatively impact their health and well-being. Let the public feel and hear that you see their frustrations, you get it, and you’re fighting for them within the system. Recognize when pro-science messages are alienating people. Facts absolutely matter, but angrily venting only alienates people further. Our friend Elisabeth Marnik recently wrote a New York Times article about her experience growing up unvaccinated and how listening and empathetic conversation are the only ways to reach people that really work (a position backed by communication science). Her comments section was full of hateful comments from pro-vaccine individuals attacking her for daring to suggest we approach vaccine-hesitant individuals with empathy. It is possible to both stand firm behind scientific evidence and empathize with people who don’t trust it. Lean into politics smartly. Often, public health has shied away from politics: Don’t touch it, lest you get burned. But this fails to recognize that the third rail is what fuels the train: who is elected determines our budgets, our priorities, and our authority. Being political means being very savvy in strategy on both sides of the aisle, knowing your audience, and recognizing that political capital is as scarce as financial resources and needs to be allocated accordingly. Bottom line So does public health need MAHA? That’s not really the right question. Public health has a responsibility not to dismiss 40% of the country who feel heard by this movement and are frustrated that the system has failed them. And it has a responsibility to stick to the evidence and recognize MAHA leadership for what it is: a danger to our nation’s health. Both can, and should, be done. Love, YLE and KP A big thanks to Craig Spencer, who had the courage to put his neck out there to start a much-needed discussion at such a critical moment—one that is determining the identity of an entire field. RED OAK, Iowa – U.S. Senator Joni Ernst (R-Iowa), Chair of the Senate Small Business Committee, today announced her Small Business of the Week: Winn’s Pizza & Steakhouse and Winn & Sara’s Kitchen of Warren County. Throughout the 119th Congress, Chair Ernst plans to recognize a small business in each of Iowa's 99 counties. "Winn’s Pizza & Steakhouse has been an outstanding addition to the Indianola community," said Chair Ernst. Handover of Health Commodities

Joint Handover of Health Commodities Speech of Chargé d’Affaires Steve Bremner (…) Thank you for joining us. I am here today to demonstrate how U.S. foreign assistance under President Trump’s America First Global Health Strategy and our bilateral health MOU makes America safer and stronger while helping Madagascar build a more self-reliant health system. Through our bilateral Global Health Memorandum of Understanding (MOU) signed in December 2025 with the Ministry of Public Health, our two governments outlined shared priorities and responsibilities, including a strong focus on infectious disease threats and Madagascar’s increasing ownership and co-investment in its own health system. The MOU outlines the structure and terms of U.S. support to Madagascar’s health sector from 2026 through 2030, with a total commitment of $134,305,000 from the U.S. government and $41,216,252 from the Government of Madagascar to work jointly to address malaria, maternal and child health, polio and global health security issues. Stronger health systems help prevent instability and reduce the risk that infectious diseases reach the United States, making both our countries safer. America First foreign assistance is clear and disciplined: It is a tool of strategic engagement, not global charity. Every U.S. taxpayer dollar must show measurable results, reduce long-term dependence on U.S. taxpayer resources, and support greater self-reliance in recipient countries. Support must be efficient and targeted, with zero tolerance for fraud, waste, or abuse. This year, through the U.S.-funded Global Health Supply Chain Program – Procurement and Supply Management project, we are distributing: 989,250 long-lasting insecticide-treated nets, worth $2,000,000 to 63 districts and 1,661 Community Health Centers across Madagascar, with the third and final delivery of these nets having arrived in late June. Through the U.S.-funded Momentum Country and Global Leadership (MCGL) project, we are funding: The full cost of Starlink internet connectivity equipment procurement, installation, and one-year subscription for 31 priority District and Regional Health Offices. Through the U.S.-funded Strengthening Infectious Disease Detection Systems project, we are supplying: 908,523 pieces of critical medical equipment and a modernized digital surveillance system to the Ministry of Public Health. These materials will strengthen health systems, improve response capabilities, and help those most in need of protection from mosquito-borne diseases — particularly malaria, which continues to claim the lives of children and women at an unacceptable rate. Deployed effectively, they will contribute to reducing maternal and newborn mortality in rural and hard-to-reach communities where the need is greatest. In these same underserved areas, Starlink connectivity will play a critical role in enabling the rapid transmission of health data and information to central levels, ensuring that decision-makers receive timely, actionable intelligence and can mount swift, coordinated responses to protect populations. For Americans, this support delivers concrete benefits. Stronger health systems in Madagascar help detect and contain infectious diseases before they spread across borders, protecting American and Malagasy families. More stable, healthier countries can expand trade and economic cooperation with the United States. Our goal is not permanent support; it is temporary, targeted assistance that helps Madagascar save lives while achieving greater self-reliance and independence from foreign assistance. To the health workers and community health agents here that will use the products we’re delivering today: your dedication and skills save lives. Your work exemplifies the kind of local ownership that will enable Madagascar to reduce dependence on foreign assistance and manage the country’s health challenges. This targeted support delivers results today while helping Madagascar build toward a future where it can sustain and expand those health gains independently, ensuring that today’s U.S. support leads to Madagascar’s self-sufficiency. Thank you, Misaotra.

Wilmington Small Business Coalition: Building Momentum in 2026 by Heather McWhorter

This article was contributed by Lydia Thomas, UNCW CIE Program Manager. North Carolina continues to be one of the best states to start a business and in 2025, Wilmington, North Carolina earned a spot on the GoDaddy list of the top 10 most entrepreneurial cities in the U.S. While many know Wilmington as small beach town with exceptional food, lots of coffee shops, and fun, vibrant summer activities, a closer look reveals a thriving innovation economy. You’ll find startups emerging across industries including software, healthtech, bluetech, and fintech. At the core of this entrepreneurial ecosystem is the Wilmington Small Business Coalition, with small business advocates and entrepreneur support organizations (ESOs) dedicated to helping founders grow, thrive, and succeed. “No Wrong Door” Established in 2016, the Coalition was designed to make it easier for individuals and small businesses to access resources most suited to their particular needs. The Coalition is designed to have a “no wrong door” entryway into the regional startup ecosystem. Whether you are exploring a new idea sketched on the back of a napkin or leading a more established, growth-stage company, Coalition members can help connect you with the programs, funding opportunities, mentors, and resources best suited to your needs. No matter where you are in your entrepreneurial journey, any Coalition organization can help point you in the right direction. Coalition Members and Leadership Coalition members include the UNCW Center for Innovation and Entrepreneurship (UNCW CIE), AARP, Brunswick Community College Small Business Center, Cape Fear Community College Small Business Center, Cape Fear Region SCORE, Genesis Block Foundation, Network for Entrepreneurs in Wilmington (NEW), Small Business & Technology Development Center (SBTDC), Greater Wilmington Chamber of Commerce, YWCA Living the Dream Center for Entrepreneurship, Carolina Community Impact Fund (CCI Fund), Partner Community Capital, 717mkt Office Collaborative, NC Biotech, and Institute NC. In May 2026, the Coalition held its leadership elections, resulting in the selection of a new executive team. The following officers were elected to serve two-year terms: Chair: Lydia Thomas, UNCW CIE Vice Chair: Diane Lantz, CCI Fund Secretary: Aariene Hansley, Genesis Block Foundation Treasurer: Gloria Monroe, SBTDC Vision for the Wilmington Small Business Coalition In 2026, the Wilmington Small Business Coalition continues its work as a collaborative network of organizations. By connecting programs, expertise, and services across partner organizations, entrepreneurs can more easily find the right support at the right time. Rather than operating in silos, the Coalition aims to function as a unified, cohesive system of support for small businesses and entrepreneurs, ensuring that resources and expertise across partner organizations are visible and accessible. Through stronger collaboration and shared pathways, entrepreneurs can move more seamlessly from idea to startup to growth. Looking to dive into the Wilmington entrepreneurial ecosystem? Connect with any of the Coalition partners to get started! Connect with CIE To learn more about CIE and our services, programs, and events, join the CIE newsletter.
